1. About BRIDGES Technology Group

BRIDGES Technology Group (“BRIDGES,” “we,” “us,” or “our”) is a technology company incorporated and operating under the laws of the Republic of Liberia. Our principal place of business is in Monrovia, Liberia.

These Terms of Service (“Terms”) govern your access to and use of the BRIDGES public website at bridgestechgroup.com and all associated software platforms operated by BRIDGES, including but not limited to Reportiva, NovaCore, Koloqwa, and any other SaaS platforms we make available (collectively, the “Services”).

2. Acceptance of Terms

By accessing or using the Services, you confirm that:

• You are at least 18 years of age or have the legal capacity to enter into binding agreements under applicable law.
• You have read, understood, and agree to be bound by these Terms.
• If you are accessing the Services on behalf of an organization, you have the authority to bind that organization to these Terms.

3. Description of Services

BRIDGES provides digital infrastructure, software platforms, AI training programs, technology consultancy, and related services to government institutions, NGOs, international organizations, and enterprise clients. Specific terms applicable to individual platforms or engagements may be set out in separate agreements, which supplement and form part of these Terms.

4. User Accounts and Access

Where our Services require you to create an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your login credentials and not share them with unauthorized parties.
• Notify us immediately at legal@bridgesliberia.com if you become aware of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

BRIDGES reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or otherwise compromise the integrity of the Services.

5. Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable Liberian law or any other applicable national or international law or regulation.
• Transmit any unsolicited or unauthorized advertising or promotional material.
• Impersonate any person or entity or falsely represent your affiliation with any person or entity.
• Attempt to gain unauthorized access to any part of the Services or any system or network connected to the Services.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
• Reverse engineer, decompile, or disassemble any software component of the Services.
• Use the Services to store or transmit malicious code, viruses, or other harmful software.
• Scrape, harvest, or extract data from the Services without express written consent from BRIDGES.

6. Intellectual Property

All content, software, designs, trademarks, logos, and materials available through the Services are the property of BRIDGES Technology Group or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of the Services without our prior written consent.

Any feedback, suggestions, or ideas you submit regarding the Services may be used by BRIDGES without obligation or compensation to you.

7. Client Data and Confidentiality

Where BRIDGES processes data on behalf of a client organization under a service agreement, the terms of that agreement govern the handling of such data. BRIDGES is committed to maintaining appropriate technical and organizational measures to protect client data from unauthorized access, loss, or disclosure.

BRIDGES will not sell, share, or disclose client data to third parties except as required to deliver the Services, as required by law, or with the express consent of the client.

8. Availability and Uptime

BRIDGES endeavors to maintain high availability of its Services but does not guarantee uninterrupted or error-free access. The Services may be temporarily unavailable due to maintenance, upgrades, or factors outside our control.

Specific uptime commitments, if applicable, will be set out in a separate Service Level Agreement (“SLA”) between BRIDGES and the client organization.

9. Fees and Payment

Access to certain Services may require payment of fees as set out in a separate engagement agreement or subscription plan. All fees are quoted in United States Dollars (USD) unless otherwise stated. Payment terms, invoicing schedules, and late payment consequences will be specified in the applicable agreement.

BRIDGES reserves the right to suspend access to paid Services in the event of non-payment after reasonable notice has been provided.

10. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

BRIDGES does not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components. You use the Services at your own risk.

11. Limitation of Liability

To the fullest extent permitted by applicable law, BRIDGES Technology Group and its directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if BRIDGES has been advised of the possibility of such damages.

In no event shall BRIDGES’s total liability to you for all claims arising out of or related to the Services exceed the total amount paid by you to BRIDGES in the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless BRIDGES Technology Group and its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services in violation of these Terms.
• Your violation of any applicable law or regulation.
• Your infringement of any third-party rights.

13. Third-Party Links and Services

The Services may contain links to third-party websites or integrate with third-party services. BRIDGES does not control and is not responsible for the content, privacy practices, or availability of such third-party resources. Inclusion of a link does not imply endorsement by BRIDGES.

14. Termination

BRIDGES reserves the right to suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or for any other legitimate business reason.

Upon termination, your right to access and use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including intellectual property rights, disclaimers, indemnification, and limitations of liability.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Liberia, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the competent courts of the Republic of Liberia.

16. Changes to These Terms

BRIDGES reserves the right to update or modify these Terms at any time. We will notify users of material changes by updating the effective date at the top of this page and, where appropriate, by sending notice to the email address associated with your account.

Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.
